01 — About

Steven Robinson

Founder & Principal Attorney

Over twelve years practicing law, including more than seven years inside venture capital negotiating deals — from first term sheet to signed and closed.

That vantage point is the whole point. Sitting on the investor side of the table for years means knowing which terms actually get fought over, which ones quietly cost you later, and which ones are noise. Founders get counsel who has already seen how the other side thinks.

The name is deliberate. In data science, ground truth is the verified reality a model is measured against. Legal advice should work the same way — grounded in what the market is actually doing, not in habit or boilerplate.

What I do

General corporate services for companies and the investors who back them.

  1. General Corporate

Day-to-day counsel, governance, board and stockholder matters, equity administration, and the ongoing hygiene that keeps a company financeable.

  2. Venture Financings

SAFEs, convertible notes, and priced rounds from seed through Series B — term sheet negotiation, diligence, and closing mechanics.

  3. Commercial Contracts

Master services agreements, SaaS and licensing terms, vendor and customer paper, statements of work, and the playbooks to negotiate them at speed.

  4. NDAs & Confidentiality

Mutual and one-way NDAs, confidentiality and trade secret protection, and templates your team can send without a lawyer in the loop.

  5. Formation

Delaware C-corps and LLCs, founder equity and vesting, 83(b) elections, and a cap table built to survive its first real diligence request.
